Terms of Service

1. Who we are
These terms are an agreement between you and Holdout ("we", "us") for the Holdout software, website and related services (the "Service").
2. The Service is software, not advice
Holdout is a set of charting indicators and trading tools. We are not a broker, investment adviser, commodity trading advisor or fiduciary. Nothing we provide is a recommendation to buy or sell any security, futures contract or other instrument, or a statement that any trade suits you. You make every trading decision and you are solely responsible for it. See the Risk Disclosure, which is part of these terms.
3. Subscriptions and payment
Subscriptions renew automatically each month or year until you cancel. Orders are processed by Lemon Squeezy, which acts as the reseller and merchant of record and may charge applicable taxes. You can cancel at any time; you keep access until the end of the paid period. Refunds follow our Refund Policy. We may change prices with at least 30 days' notice; changes apply from your next renewal.
4. License
While your subscription is active, we grant you a personal, non-exclusive, non-transferable license to use the software for your own trading on computers you control. You may not share, resell, sublicense or publish the software, your license key or your TradingView access; reverse-engineer, decompile or remove license checks; or use the software to build a competing product. We may suspend access if we reasonably believe a license is being shared or misused.
5. Automated strategies
Some tools can place orders on a trading account if you enable them. You are responsible for configuring, testing (including on a simulated account) and monitoring them, and for every order they place. Software, data feeds, internet connections and trading platforms can fail; you accept that risk.
6. Third-party platforms
The software runs on platforms we don't control (such as NinjaTrader and TradingView). Their changes, outages or policies may affect the Service. Those platforms' own terms apply to your use of them.
7. No warranty
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that it is error-free, uninterrupted, or that it will produce any particular trading result.
8. Limitation of liability
To the fullest extent permitted by law, we are not liable for any trading losses, lost profits, or indirect, incidental, special or consequential damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the three months before the claim.
9. Changes and termination
We may update the software and these terms. If we make a material change to the terms we will notify subscribers by email. You may stop using the Service at any time. We may terminate access for breach of these terms.
10. Governing law
These terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules.
